DUTIES
OF OFFICERS
From the Charter and
Bylaws
Amended June 3, 2010
ARTICLE VII
Section 1. President. The President shall be considered the Executive
Officer of the entire membership, including the Headquarters Office and
all Departments of the Order. The following shall be the duties of the
President:
a. Have power to sign legal documents, affixing the corporate seal when
necessary;
b. Approve all bills before payment by the International Treasurer;
c. Officially inspect Headquarters at least annually;
d. Officially represent the Order at Chautauqua Scholarship Order events;
e. Serve as Chairman of the Executive Committee;
f. Serve as an ex-officio member of all committees of the International
Order except the Nominating Committee;
g. Meet with Treasurer of the Order for the purpose of reviewing the funds
and anticipating the financial structure of the Order whenever this is
deemed necessary;
h. Compile the Calls for Central Council and General Convention;
i. Preside over all business sessions of Central Council and General Convention;
j. Make a report to Central Council and General Convention;
k. Contribute an article to The Silver Cross magazine as requested by
the Editor;
l. Appoint committee members as prescribed in the Bylaws;
m. Create and appoint any necessary special committees, after approval
of the Executive Committee, to further the work of the Order;
n. Appoint or contract necessary consultants, with the approval of the
Executive Committee;
o. Appoint an Historian, a parliamentarian and a Chautauqua Program Coordinator;
and
p. Assure bonding of the President at the expense of the Order.
Section 2. First Vice-President. The First Vice-President shall
work closely with the President, keeping informed of the overall business
and policies of the Order, and assuming the Presidency when called upon
to do so. Should the President be unable to serve while in office, the
First Vice-President shall perform the duties and have the same authority
as the President. Under the direction of the President, the First Vice-President
shall assume duties assigned, such as planning both the Central Council
meetings and General Convention and other leadership assignments. The
First Vice-President shall meet all the requirements given to become President.
Because this officer is considered to be in training to move into the
office of president, this individual will be the first person considered
to become the nominee for president in election years. The First Vice-President
shall contribute an article to The Silver Cross magazine when requested
by the Editor or the President. Reports shall be made to Central Council
and General Convention in the method requested by the President. Proviso:
To be implemented with the elections at the 2012 Convention.
Section 3. Second Vice-President. The Second Vice-President shall
chair the Membership Extension Committee and coordinate all membership
activities; act as liaison between the Executive Committee and the Department
Directors; contribute an article to The Silver Cross magazine when requested
by either the Editor or the President; and shall report to Central Council
and General Convention in the method requested by the President.
Proviso: To be implemented with the elections at the 2012 Convention.
Section 4. Third Vice-President. The Third Vice-President shall
coordinate communications; act as liaison between the Executive Committee
and the Editorial Committee; produce a newsletter or other communication
tool to keep the membership informed about current activities within the
Order and the Executive Committee and Central Council actions; act as
liaison between the Executive Committee and the committee chairmen; contribute
an article to The Silver Cross magazine when requested by either the Editor
or the President; and shall report to Central Council and General Convention
in the method requested by the President.
Proviso: To be implemented with the election at the 2012 Convention.
Section 5. Secretary. The Secretary shall record the minutes of
Central Council, General Convention and the Executive and Finance Committees.
The following shall be the duties of the Secretary:
a. Maintain a permanent record of the Executive and Finance Committee
meetings, submitting copies of all minutes to the Executive Committee;
b. Submit copies of the minutes of the business meetings of General Convention
to the President of the International Order; to Headquarters for filing;
the original copy for the files of the Secretary. Also submit a list of
adopted recommendations to the President, to the Treasurer and to Headquarters;
c. Submit copies of the minutes of the interim business meetings of Central
Council to the President of the International Order; to Headquarters for
filing; and the original copy for the file of the Secretary. Also submit
a list of adopted recommendations to the President, to the Treasurer and
to Headquarters;
d. Provide an electronic version of the minutes of both the General Convention
and Central Council to all members of Central Council, thus making it
available to any member that contacts a member of Central Council;
e. Attest legal documents when necessary.
f. Make a report to Central Council and General Convention, including
a financial statement of office expense; and
g. Be responsible for correspondence at the direction of the President,
Central Council and General Convention.
Section 6. Treasurer. The Treasurer shall be bonded at the expense
of the Order, shall receive, hold and disburse all Order funds, and have
custody of the investment bonds of the Corporation. The following shall
be the duties of the Treasurer:
a. Place funds to the credit of the International Order of The King's
Daughters and Sons in Federally Insured Institutions;
b. Maintain savings on deposit in any bank at an amount which shall not
exceed the amount covered by the Federal Insurance Corporation;
c. Pay all bills for $1,500.00 or more, except such as the Finance Committee
shall specifically exempt, with Order checks signed by the Treasurer and
countersigned by the President;
d. Pay all bills under $1,500.00, except such as the Finance Committee
shall specifically exempt, with Order Checks signed by the Treasurer or
by the President;
e. Supply the President with checks for use in an emergency;
f. Make no disbursement without approval of the President;
g. Make no expenditure, nor incur any debt, in excess of the amount allowed
by the budget for the several purposes therein specified, except by order
of the Finance Committee;
h. Meet with the President for the purpose of reviewing the funds and
anticipating the financial structure of the Order, at the request of the
President;
i. Arrange for an annual review by a Certified Public Accountant;
j. Turn over to the qualified successor, as Treasurer, property belonging
to the Corporation, -covering the transactions occurring from the close
of the completed fiscal year to June 30 of the election year;
k. All such records and property as referred to in j shall be submitted
to the incoming Treasurer and the Certified Public Accountant no later
than ninety days after the election of the new Treasurer, including books
held and maintained by the Treasurer, the detailed general ledger, as
well as the cash disbursements journal and/or check register, with copies
sent to Headquarters Office;
l. Serve as Chairman of the Finance Committee;
m. Make a report to Central Council and General Convention, including
a financial statement of office expense; and
n. Assure bonding of the Treasurer at the expense of the Order.
Section 7. Editor. The duties of the Editor shall be as follows:
a. Assemble material and prepare it for publication in The Silver Cross
magazine, subject to provisions in Article XII and Article XVIII;
b. Make a report to Central Council and General Convention, including
a financial statement of office expense;
c. The Editor's responsibility shall begin with the publication of the
issue following the election, and the retiring Editor will assist with
the publication of that issue.
Section 8. Director of Spiritual Life. The Director of Spiritual
Life shall seek to further the spiritual life of the membership through
projects and programs (example - Clergy Week) and through prayer, Bible
study and emphasis on the aims and objects of the Order. Special projects
may be undertaken with the approval of the Executive Committee. The Director
of Spiritual Life shall contribute an article to The Silver Cross magazine
when requested by either the Editor or the President, and shall report
to Central Council and General Convention in the method requested by the
President. Proviso: To be implemented with the election at the 2012 Convention.
Section 9. Director of the Chautauqua Department. The duties of the Director
of the Chautauqua Department shall be:
a. Responsibility for direction of the Order Chautauqua Scholarship Program;
b. Endeavor by correspondence and other practical means to increase the
interest and scope of the Chautauqua program;
c. Work in conjunction with the International President and the Chautauqua
Building and Chautauqua Program Committees in all plans for the Scholarship
season;
d. Keep a permanent record of all Scholarship students, compiled annually,
which shall be the property of the Order. This information shall be shared
with the Membership Extension Committee and Branch Presidents;
e. Submit to the Finance Committee an annual budget for the Scholarship
season;
f. Work with the President in planning Order Night at Chautauqua and arranging
for the meeting of Central Council when it convenes at Chautauqua;
g. Contribute an article promoting the department when requested by either
the Editor or the President for The Silver Cross magazine;
h. Make a report to Central Council and General Convention, including
a financial statement of office expense;
i. Serve as an ex-officio member of the Chautauqua Building Committee
and the Chautauqua Program Committee; and
j. Term of office will begin thirty days after the close of the Chautauqua
Scholarship Program in the year of election.
Section 10. Director of the Junior Department. The duties of the
Director of the Junior Department shall be:
a. Promote the increase of Junior membership;
b. Contribute an article or program for the Junior Circles when requested
by either the Editor or the President for The Silver Cross magazine; and
c. Make a report to Central Council and General Convention, including
a financial statement of office expense.
Section 11. Director of the Health Careers Scholarship Department.
The duties of the Director of the Health Careers Scholarship Department
shall be:
a. Select for financial assistance, by the Order, deserving students who
have been accepted by or are enrolled in an accredited institution for
training in health careers;
b. Promote interest in the department;
c. Contribute an article when requested by either the Editor or the President
for The Silver Cross magazine; and
d. Make a report to Central Council and General Convention, including
a financial statement of office expense.
Section 12. Director of the Student Ministry Scholarship Department.
The duties of the Director of the Student Ministry Scholarship Department
shall be:
a. Seek to implement the first object of the Order by encouraging young
people to train for Religious Work and for the Ministry;
b. Select for financial assistance from the Order, qualified full time
graduate students, who are citizens of the United States or Canada and
studying for a Master of Divinity degree, giving preference to those with
intentions of becoming a minister of an organized congregation. Applicants
must have a B average or better for all graduate and undergraduate work
and must attend a school or seminary accredited by the Association of
Theological Schools in the United States or Canada;
c. Promote interest in the department;
d. Contribute an article when requested by either the Editor or the President
for The Silver Cross magazine; and
e. Make a report to Central Council and General Convention, including
a financial statement of office expense.
Section 13. Director of the Around the World Department. The duties
of the Director of the Around the World Department shall be:
a. Promote the formation of overseas Circles;
b. Through correspondence, encourage the membership around the world;
c. Supply information concerning endorsed Around the World projects;
d. Select the proposed expenditures from the undesignated funds received;
e. Select foreign students for financial assistance by the Order, to aid
the students with education pursued outside the United States and Canada;
f. Contribute an article when requested by either the Editor or the President
for The Silver Cross magazine;
g. Make a report to Central Council and General Convention, including
a financial statement of office expense; and
h. Prepare a budget, in conjunction with the Treasurer, of funds to be
disbursed from the undesignated funds.
Section 14. Director of the North American Indian Department. The
duties of the Director of the North American Indian Department shall be:
a. Promote interest in the department;
b. Select North American Indian students for financial assistance by the
Order, to enable then to further their education on the undergraduate
college level;
c. Select the proposed expenditures from the undesignated funds received;
d. Supply information concerning endorsed North American Indian projects
and scholarship program;
e. Contribute an article when requested by either the Editor or the President
for The Silver Cross magazine;
f. Make a report to Central Council and General Convention, including
a financial statement of office expense; and
g. Prepare a budget, in conjunction with the Treasurer, of funds to be
disbursed from the undesignated funds.
